These Terms of Use (the “Terms”) apply to all access and use of the Northbased ApS website (northbased.net) and the secure Client Portal (“Portal Account”). By accessing or using the Portal Account, you agree to be bound by these Terms in full.
01Introduction
These Terms of Use govern your access to and use of the Northbased website (northbased.net) and the secure Client Portal (“Portal Account”). By accessing or using any part of these services, you accept and agree to be bound by these Terms in their entirety. If you do not agree, you must not access or use the website or Portal Account.
02Portal Account and Access
Northbased ApS provides each Client with a dedicated Portal Account to manage contracts, retainers, project details, time tracking, work summaries, invoices, and related communications.
2.1 Security and Responsibility
You are solely responsible for maintaining the confidentiality and security of your login credentials. Northbased ApS shall not be liable for any loss, damage, or unauthorized access resulting from your failure to safeguard credentials (e.g., using weak passwords or sharing login details).
2.2 Accuracy of Information
You must provide and maintain accurate, complete, and up-to-date business, contact, and payment information. Upon request, you shall promptly supply documentation verifying your authority to act on behalf of any represented entity.
2.3 Verification and Suspension
Northbased ApS reserves the right to verify any information you provide at any time. Failure to keep information accurate or to cooperate with reasonable verification requests may result in temporary or permanent suspension of Portal Account access and related Services, without prior notice.
03Acceptable Use
You agree to use the Portal Account and website only for lawful purposes directly related to your business relationship with Northbased ApS. You must not:
- Upload, transmit, or distribute viruses, malware, or any malicious code;
- Attempt unauthorized access to the Portal Account, systems, or data;
- Use the Portal to harass, threaten, defame, or harm any person or entity;
- Interfere with or disrupt the operation of the Portal, servers, or networks;
- Engage in any conduct that violates applicable law or infringes third-party rights.
Any breach of this section allows Northbased ApS to immediately suspend or terminate your access without notice and without limiting other available remedies.
04Availability and Technical Requirements
Northbased ApS aims to maintain the Portal Account and website in good working order but offers no warranty of uninterrupted, timely, secure, or error-free access. We may temporarily suspend or restrict access for maintenance, updates, security reasons, or other technical issues, without prior notice or liability.
05Modification of These Terms
Northbased ApS may update or modify these Terms at any time. Material changes will be communicated to Clients at least 30 calendar days in advance via the Portal Account or registered email address. Your continued use of the Portal Account or website after the effective date constitutes acceptance of the revised Terms.
06Governing Law and Jurisdiction
These Terms of Use are governed exclusively by the laws of Denmark, without regard to conflict of law principles. Any dispute, controversy, or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Denmark.
