Terms of Use

01Introduction
These Terms of Use govern all access to and use of the Northbased website (northbased.net) and the secure Client Portal (“Portal Account”). By accessing or using the Portal Account, you accept and agree to be bound by these terms in their entirety.
02Portal Account and Access
Northbased provides each Client with a dedicated Portal Account for managing contracts, retainers, project information, time tracking, work summaries, invoices and communication.
2.1 Security and Responsibility
The Client is solely responsible for maintaining the confidentiality and security of its login credentials. Northbased shall not be liable for any loss or damage arising from unauthorized access caused by the Client’s failure to protect credentials, including the use of weak passwords or sharing of login details.
2.2 Accuracy of Information
The Client undertakes to provide and maintain accurate, complete and up-to-date business and payment information. Upon request, the Client shall promptly provide documentation confirming its authority to enter into agreements on behalf of the represented entity.
2.3 Verification and Suspension
Northbased reserves the right to verify the information provided by the Client at any time. Failure to maintain accurate information or to cooperate with reasonable verification requests may result in temporary or permanent suspension of access to the Portal Account and associated Services, without prior notice.
03Acceptable Use
The Client agrees to use the Portal Account solely for lawful purposes directly related to its business relationship with Northbased. In particular, the Client shall not:
- Upload, transmit or distribute viruses, malware or any other malicious code;
- Attempt to gain unauthorized access to any part of the Portal Account or Northbased systems;
- Use the Portal to harass, threaten, defame or harm any person or entity;
- Interfere with or disrupt the operation of the Portal or connected servers and networks;
- Engage in any activity that violates applicable law or third-party rights.
Breach of this clause entitles Northbased to immediately suspend or terminate access without prior notice and without prejudice to any other remedies.
04Availability and Technical Requirements
Northbased strives to keep the Portal Account available and functioning correctly but provides no guarantee of uninterrupted or error-free operation. Access may be temporarily suspended for maintenance, updates or technical reasons without prior notice.
05Modification of These Terms
Northbased reserves the right to amend these Terms of Use at any time. Material changes will be notified to Clients at least 30 calendar days in advance via the Portal Account or registered email. Continued use of the Portal Account after the effective date of such changes constitutes acceptance of the amended terms.
06Governing Law
These Terms of Use are governed by the laws of Denmark. Any dispute arising in connection with them shall be subject to the exclusive jurisdiction of the Danish courts.
By accessing or using the Portal Account, you confirm that you have read, understood and agree to be bound by these Terms of Use.
